, a device that integrates the performance and functions of an overvoltage protection (OVP) circuit, a 30 volt (V) P-channel power MOSFET, a low VCE(sat) transistor and a low Rds(on) power MOSFET into a space-saving 3.0 mm x 4.0 mm x 0.9 mm package. The NUS6189 is designed to protect sensitive electronic circuitry from overvoltage transients and power supply faults. It is optimized for applications that utilize an external AC-DC adapter or car accessory charger such as mobile phones, PMPs and mobile internet devices&#xD;

By integrating the four separate device functions commonly needed for protection within portable devices into a single IC, the NUS6189 reduces the PCB space required by up to 40 percent.  In addition, the device’s integrated design delivers very low power dissipation, significantly reducing heat and improving battery life. Specifically designed to handle large inrush peak currents, the NUS6189 is the ideal complement to power management ICs offered by ON Semiconductor and to the leading CDMA chipsets – both being designed into next generation portable devices. With an overvoltage turn-off time of less than 1.0 micro seconds (µs) the device quickly disconnects the input supply from the load during faults, thus assuring superior protection over existing slower solutions&#xD;

Keith Jackson, President and Chief Executive Officer of ON Semiconductor said, “While we believe that Atmel’s Nonvolatile Memory and RF and Automotive businesses would be an attractive strategic acquisition, we have decided to withdraw from the proposal due to the unforeseen deterioration in the semiconductor market since we announced our proposal as well as the unprecedented weakness in the financial markets.”&#xD;

Steve Sanghi, President, Chief Executive Officer and Chairman of Microchip said, “We are disappointed that difficult semiconductor industry and financial market conditions have resulted in ON Semiconductor withdrawing from our joint proposal to acquire Atmel. The low-power, mixed-signal NCV7321 is a replacement for the AMIS-30600 single-wire LIN transceiver, but with improved electromagnetic capability (EMC) and electrostatic discharge (ESD) performance and lower power dissipation. &lt;/p&gt;&#xD;
&lt;p&gt;The LINv2.1- and J2602-compliant NCV7321 has the same functionality as the AMIS-30600, but with a different pin-out, offering customers alternative sourcing for existing LIN transceivers.  Automotive body and comfort applications for the NCV7321 include tire guard ECUs, receivers for remote key entry, electronic steering locks, window and sun hood lifters, alarms, seat movement and mirror controllers.&lt;/p&gt;&#xD;
&lt;p&gt;“The NCV7321 gives automotive Tier 1 and 2 suppliers another option for putting LIN-enabled networks into vehicles,” said Jan Polfliet, manager ASSP, Automotive Products at ON Semiconductor.  “The low power dissipation and reduced system cost using ON Semiconductor’s LIN transceivers make them attractive for a wide range of existing and evolving automotive applications.”  &lt;/p&gt;&#xD;
&lt;p&gt;The NCV7321 completes the ON Semiconductor LIN transceiver ASSP family, which currently consists of the NCV7420D23G and NCV7420D25G.  The NCV7321 has all the functionality of the NCV7420, but without the built-in voltage regulators of the current parts.  ON Semiconductor’s SmartPower technology, which combines high-voltage analog circuitry and dense digital functionality in a single chip, provides ESD protection to +/- 8 kilovolt (kV).  Other standard features include indefinite short circuit protection between supply and ground, a thermal shutdown capability and an integrated slope control function to ensure low electromagnetic emissions.  The rated operating temperature is -40° to 125°C.&lt;/p&gt;&#xD;

&lt;p&gt;The NCP1083 joins the NCP1081 as the industry’s highest power integrated Power over Ethernet Power Device (PoE-PD) supporting extended power ranges up to 40 W of regulated power delivered to the application load in a 2-pair configuration.  The NCP1083 is also capable of providing power via an auxiliary parallel supply.  Both NCP1082 and NCP1083 fully support the IEEE 802.3af standard and the NCP1083 enables the latest draft IEEE 802.3at (D3.0) standard including two event physical layer classification. Typical applications targeted by NCP1082 and NCP1083 include VoIP phones, wireless access points, industrial Ethernet I/O modules, programmable logic controllers (PLCs), pan-tilt-zoom (PTZ) and dome security cameras, and other applications that require an auxiliary supply.&lt;/p&gt;&#xD;
&lt;p&gt;The NCP1082/3 support normal PoE operation when power is available on the Ethernet cable.  In the event Ethernet power is not available, the device accepts an auxiliary supply input to power the application.  This approach eliminates the need for a second DC-DC converter and therefore drastically reduces the bill of materials.  The new devices support a wide range of external input voltages from 9 V to 57 V. &lt;/p&gt;&#xD;
&lt;p&gt;ON Semiconductor’s integrated NCP1082/3 PoE-PD devices are pin-compatible with the company’s existing NCP1080/1 PoE-PD devices in the TSSOP-EP 20 pin package. Pin compatibility allows the customer to easily mix-and-match different PoE capabilities on different platforms.&lt;/p&gt;&#xD;
&lt;p&gt;The NCP1082/3 leverages ON Semiconductor’s automotive qualified high-voltage SmartPower process to provide superior cable ESD and surge protection levels compared to other integrated PD and DC-DC converter controllers. Low on-resistance (Ron) and extended temperature range from -40°C to 85°C with full operation up to 150°C junction temperature allows the NCP1082/3 to achieve record power levels while operating in harsh environments.&lt;/p&gt;&#xD;

With voltage compliance levels of 25 V on each channel, these drivers are capable of supporting RGB pixels with brightness power levels in excess of 10 watts.  &#xD;

&lt;p&gt;ON Semiconductor will be presenting two different papers at the electronica Embedded Forum, also in Hall A6. In the first, which is scheduled for 15.30 on 12th November, Eric Wallentine, ON Semiconductor’s product marketing manager, industrial products (stepper motor drivers and CAN transceivers), will consider the topic of ‘drive evolution for flexible CAN-based motion controls’. At 15.00 on 13th November Barry West, the company’s principal systems architect for digital and mil/aero products and services, will deliver a paper on FPGA-based embedded systems design. &lt;/p&gt;&#xD;

ON Semiconductor’s NCP5680, a unique LED flash driver with super-capacitor charging control will be highlighted in this presentation. The device is capable of delivering over 5A to 2 LED flashlights for high resolution photography – the highest current capability in the market. It also allows the extra energy in the super-capacitor to power other high-peak-current circuits in the cellphone, such as PA and audio amplifier. Therefore, the battery is able to handle more power consuming applications and for a longer time. The NCP5680 offers both flash and torch mode, with photo sensor that limits the flash duration and multiple safety features including temperature sensing, short circuit protection and time-out. This paper will be presented at 15.00 on both the 12th and 13th November.&lt;/p&gt;&#xD;

      <title>ON Semiconductor to showcase energy-efficient solutions for automotive, industrial and portable designs with live stand demonstrations</title>

&lt;p&gt;For the automotive sector, demonstrations will show the application of the company’s mixed-signal bridge driver technology in a throttle design and the use of ON Semiconductor devices in door mirror and HVAC systems.  Twice a day during the show visitors will also have the opportunity to enter a competition to achieve the shortest time for accurately parking a remote controlled car that has been equipped with an ON Semiconductor ‘park assist’ sensor.&lt;/p&gt;&#xD;
&lt;p&gt;Industrial motor control demonstrations will be based on the ON Semiconductor family of mixed-signal motor driver ICs that combine integrated networking with high levels of functionality.  One will show a LIN-enabled device controlling three motors on a LIN network and another will illustrate CAN- and I2C alternatives. These demonstrations will illustrate benefits such as simplicity of networking  and ease of implementation as well as key features such as stall detection and automatic reset functionality.&lt;/p&gt;&#xD;
&lt;p&gt;Demonstrations for portable applications will include a display &amp; lighting subsystem that shows how the recently announced NCP5890 lighting management IC can be used to control LED lighting in devices such as mobile phones.  In the demonstration the device is used to control a combination of white backlighting LEDs and RGB LEDs, highlighting its ability to provide LED dimming and audio modulated ‘fun’ lighting responses. electronica will also see the European debut of the ON Semiconductor NCP5680 flash LED driver IC in a power management subsystem where this device in conjunction with a super-capacitor (supercap)functions as a peak load delivery IC.  It will be used to drive two high-current LEDs and Class D stereo audio amplifiers, illustrating how the NCP5680 can contribute to overall system power reductions.&lt;/p&gt;&#xD;
&lt;p&gt;Further benefits of using ON Semiconductor technology in LED-based applications will be illustrated in a demonstration that compares the power efficiency of two identical desk lamps, one with an incandescent bulb and one with an LED and ON Semiconductor LED Driver. In addition, a prototype 60W green power supply for an LCD monitor will show how PSU designers can use ON Semiconductor technology to meet and exceed power conservation targets.&lt;/p&gt;&#xD;

&lt;b&gt;PHOENIX, Ariz. – Oct. 30, 2008 –&lt;/b&gt; ON Semiconductor Corporation (NASDAQ: ONNN) today announced that total revenues in the third quarter of 2008 were a record $581.5 million, an increase of approximately three percent from the second quarter of 2008.  During the third quarter of 2008, the company reported GAAP net income of $61.2 million, or $0.15 per share on a fully diluted basis.  Third quarter 2008 GAAP net income included net charges of $39.2 million, or $0.10 per share on a fully diluted basis, from special items.  The special item details can be found in the attached schedules.  During the second quarter of 2008, the company reported GAAP net income of $44.6 million, or $0.11 per share on a fully diluted basis.   &#xD;
&lt;p&gt;&#xD;
Third quarter 2008 non-GAAP net income was $100.4 million, or $0.25 per share on a fully diluted basis.  Second quarter 2008 non-GAAP net income was $95.1 million, or $0.23 per share on a fully diluted basis.  A reconciliation of these non-GAAP financial measures (and other non-GAAP measures used elsewhere in this release, such as non-GAAP gross margin and adjusted EBITDA) to the company’s most directly comparable measures prepared in accordance with U.S. GAAP are set forth in the attached schedules and on our website at www.onsemi.com.   &#xD;
&lt;p&gt;&#xD;
On a mix-adjusted basis, average selling prices in the third quarter of 2008 were down approximately two percent from the second quarter of 2008.  The company’s gross margin in the third quarter was 38.1 percent.  Non-GAAP gross margin in the third quarter of 2008 was 41.5 percent.  GAAP gross margin in the third quarter included a net charge of approximately $19.5 million, or approximately 340 basis points from special items. Adjusted EBITDA for the third quarter of 2008 was a record $140.9 million.  Adjusted EBITDA for the second quarter of 2008 was $133.7 million.       &#xD;

“We had another successful quarter reporting both record revenues and adjusted EBITDA and growing our cash and equivalents by approximately $97 million to approximately $418 million,” said Keith Jackson, ON Semiconductor president and CEO.  “We also closed the acquisition of Catalyst Semiconductor on October 10, 2008.  We believe Catalyst’s business will provide an opportunity for incremental revenue and cash flow growth and will benefit from our manufacturing capabilities, supply chain, broad sales channels and strong customer relationships.  Over the last month, we have seen an impact on our business from the current economic headwinds and global credit tightening.  Our customers have expressed more caution on their business outlook and we have adjusted our forecasts accordingly.  Given the macro economic uncertainty, we remain focused on generating strong cash flows by continuing to execute on our manufacturing and operational cost reduction programs, and disciplined approach to capital expenditures.”&#xD;
&lt;p&gt;&#xD;
&lt;b&gt;FOURTH QUARTER 2008 OUTLOOK&lt;/b&gt;&#xD;
&lt;br&gt;“Based upon product booking trends, backlog levels, manufacturing services revenues and estimated turns levels, we anticipate that total revenues will be approximately $500 to $550 million in the fourth quarter of 2008,” Jackson said.  “Over the last several weeks, we have seen a dramatic appreciation of the U.S. dollar.  This change in currency negatively impacts our revenues by approximately $10 million sequentially or approximately 2 percent and is already embedded in our overall revenue guidance.  Backlog levels at the beginning of the fourth quarter of 2008 were down from backlog levels at the beginning of the third quarter of 2008 and represent over 95 percent of our anticipated fourth quarter 2008 revenues.  We expect that average selling prices for the fourth quarter of 2008 will be down approximately two percent sequentially.
